A headlock like this is really easy to defend. One, you can just sit down, and pull the person to the side of you. Given that you hit the ground first you have a split-second to take the top position, as your opponent hits the ground.

The second way is if you're moving forward, you put your arms around their waist and then you put your leg in front of their's and trip them. You both for forward, but you end up on their back.

Face-to-face headlock is harder to defend, but that's not an appropriate position to subdue someone unless it's for a transition or you're delivering knees to their face.
