My company is closing, how to explain?

Don't say any of that. Just say you are open to new opportunities IF they ask. Then make up some bullshit story about how one time you had this interesting opportunity come up but you didn't take it because it wasn't the right time but you would never know about exiting opportunities like the one your interviewing for if you were not open on the market.

They will love you for that. Then when they press you about money at your current job or what you are looking are looking for. don't answer that question either. They don't want the real answer its a loaded question. Just say fair compensation for the job responsibilities and wages. Let them make the first wage offer and then ask for more.
