Owner offering us shares of company or will look to sell business. Advice, questions, and things to consider?

Well, first of all, if you are considering this then you need an attorney. And you may want your co-worker to get their own attorney as well, because an agreement needs to be drawn up between all three parties. Necessary due diligence needs be done as well so that you have a full understandkng of the business, how well it's performing, etc.

I don't necessarily think that the owner has an angle but it's in your interest it protect yourself. What if there are some hidden aspects of the business that you don't know about that makes this a much less attractive offer? What if something changes in 5 years? The owner may decide he doesn't want to retire, someone else may try to buy the business, or your co worker may try to back out.
