Parkrun announce the closure of Little Stoke parkrun

You might find this interesting. Not my own post but copied from a friend who posted this to FB...

It doesnt take much searching on Companies House to find the corporate structure Parkrun use. There are three companies under the Parkrun banner (and it does seem to have undergone a bit of a corporate restructure over the last 18 months)...

First up there is "Parkrun Ltd" - the not-for-profit company which presumably runs the Parkruns (and quite clearly states on the cover sheet of the published accounts it is limited by guarantee without share capital - meaning there is no shareholders who can be paid profits - meaning all profits are kept within the company - councillors should understand this basic aspect of company law).

Then there is "Parkrun Trading Ltd" which I would presume covers in all the commercial stuff Parkrun sells (merch etc). This company is not limited by guarantee but is limited by shares meaning it is a profit seeking company). It is currently owned by Parkrun Global Ltd which is also a company limited by guarantee, so any profits earned by Parkrun Trading can be paid out in dividends to a company that is not for profit - which would now keep all profits within the group. The slightly grey area with Parkrun Trading is it was once called "UKTT Ltd" and up to around 2 years ago was owned 90% by Paul Sinton-Hewitt. Now he may never have paid himself any dividends out of this company but he also could have, which perhaps would give the councils and like ammunition to throw at them.

But in respect of the side that is limited by guarantee, anyone with a modicum of knowledge of company law (which as I have said elsewhere before all politicians, local or national, should have but sadly seem to lack...) should know that these types of companies cannot distribute their profits.
